Haier Group subsidiary CARTECH has acquired controlling stake in Autohome, triggering significant board and leadership restructuring.

The completion of the share transfer between Yun Chen Capital and CARTECH marks a fundamental shift in Autohome's ownership structure. CARTECH, a Haier Group subsidiary, has acquired 200,884,012 ordinary shares representing approximately 43.0% of Autohome's total issued and outstanding shares, becoming the new controlling shareholder. Yun Chen's stake has been reduced to approximately 5.1%.

This control change has triggered significant leadership restructuring. Former CEO Song Yang has stepped down but remains with the company as Senior Vice President. Chi Liu, who has over 20 years of corporate management experience at Haier Group, has been appointed as Chairman and CEO, consolidating considerable power by also chairing both the Nominating and Corporate Governance Committee and the Compensation Committee.

The board overhaul is comprehensive, with three outgoing directors replaced by five Haier Group executives, creating a board firmly aligned with the new controlling shareholder's interests. Notably, the company has established a new Compliance Management Committee focused on risk management systems outside financial risks, potentially signaling heightened focus on regulatory compliance.

The new leadership team brings extensive experience from Haier Group's operations, with backgrounds spanning corporate management, legal compliance, strategic planning, and human resources. This governance realignment appears designed to integrate Autohome more closely with Haier Group's strategic vision, particularly through their CARTech Automotive Business Division, suggesting potential new strategic directions in China's automotive internet sector.
