Item 8.01. OTHER EVENTS.

On July 22, 2025, American Axle & Manufacturing Holdings, Inc., a Delaware corporation (“AAM” or the “Company”), issued a press release announcing the results of the general meeting of the shareholders of Dowlais Group plc (“Dowlais”), a public limited company incorporated in England and Wales, and the Court Meeting of the High Court of Justice in England and Wales, each held in connection with the Company’s recommended offer to acquire the entire issued and to be issued share capital of Dowlais. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
