Item 8.01 Other Events.
On August 21, 2025, 5E Advanced Materials, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Konik Capital Partners, LLC, as representative of the several underwriters named therein (collectively, the “Underwriters”), relating to the underwritten public offering by the Company of 2,374,481 shares of the Company’s common stock, par value $0.01 per share (“Common Stock”), at a public offering price per share of $3.50 (the “Offering”). In addition, the Company, the Company’s directors and executive officers and certain stockholders of the Company also agreed not to sell or transfer any Common Stock without first obtaining the written consent of Konik Capital Partners, LLC, subject to certain exceptions, for 90 days following the closing of the Offering. On August 25, 2025, the Offering closed, and the Company completed the sale and issuance of an aggregate of 2,374,481 shares of Common Stock.
The Company received net proceeds of approximately $7.3 million, after deducting underwriting discounts and commissions and estimated offering expenses payable by the Company. The Company currently intends to use the net proceeds from the Offering together with its existing cash, cash equivalents, and marketable securities, primarily for the operation of its small-scale facility, wellfield development and analysis, advanced planning for FEL-3 engineering, general corporate purposes, including, without limitation, working capital, advances to or investments in its subsidiaries and general and administrative matters.
The Offering was made pursuant to the shelf registration statement on Form S-3 (File No. 333-276162) (the “Registration Statement”), a prospectus included in the Registration Statement, the preliminary prospectus supplement, which was filed with the Securities and Exchange Commission (the “SEC”) on August 21, 2025, and a final prospectus supplement, which was filed with the SEC on August 25, 2025.
The Underwriting Agreement contains customary representations, warranties, covenants, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, and other obligations of the parties. The representations, warranties and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by the contracting parties. A copy of the Underwriting Agreement is attached as Exhibit 1.1 hereto and is hereby incorporated by reference. The foregoing descriptions of the Underwriting Agreement and lock-up arrangements do not purport to be complete and are qualified in their entirety by reference to such exhibit.
A copy of the legal opinion of Latham & Watkins LLP relating to the validity of the issuance and sale of the shares in the Offering is filed as Exhibit 5.1 to this Current Report on Form 8-K and is filed with reference to, and is hereby incorporated by reference into, the Registration Statement.
