Insights

TowneBank's acquisition of Dogwood State Bank strategically expands its Carolina footprint, boosting assets to $22B with 8% EPS accretion by 2027.

TowneBank's $476.2 million acquisition of Dogwood State Bank represents a significant strategic expansion along the Interstate 85 growth corridor. The all-stock transaction (0.700 shares of TOWN per DSBX share) values Dogwood at $25.04 per share, based on TowneBank's 15-day average price of $35.77.

This acquisition, combined with the pending Old Point Financial Corporation purchase, will create a substantially larger regional banking entity with approximately $22 billion in assets, $16 billion in loans, and $19 billion in deposits. The deal strengthens TowneBank's position in key North Carolina markets including Raleigh, Charlotte, and Greensboro-Winston Salem, while adding Charleston, South Carolina to its footprint.

The transaction demonstrates TowneBank's deliberate growth strategy targeting economically vibrant southeastern markets. The bank projects the acquisition will be 8.0% accretive to earnings per share by 2027 with fully phased-in cost savings, indicating significant anticipated operational synergies.

Leadership continuity appears prioritized, with Dogwood CEO Steve Jones joining TowneBank's corporate management team as President of Carolina operations, while Dogwood director Robin Perkins will join TowneBank's board. This suggests a thoughtful integration approach that preserves Dogwood's market knowledge and customer relationships while achieving scale benefits.

Expected to close in early 2026 pending regulatory and shareholder approvals, this acquisition continues the regional banking consolidation trend as mid-sized institutions seek scale advantages amid challenging operating conditions and technology demands.

SUFFOLK, Va. and RALEIGH, N.C., Aug. 19, 2025 (GLOBE NEWSWIRE) -- Hampton Roads based TowneBank (NASDAQ: TOWN) and Raleigh based Dogwood State Bank (OTCQX: DSBX) (“Dogwood), today announced the signing of a definitive merger agreement pursuant to which TowneBank will acquire Dogwood State Bank. The proposed transaction substantially enhances TowneBank’s strategic journey down the fast-growing Interstate 85 corridor from Richmond, Virginia to Greenville and the upstate region of South Carolina. The bank’s current market position will be expanded in Raleigh, Greensboro-Winston Salem, Greenville, and Charlotte, North Carolina. Additionally, the merger will increase the bank’s footprint along the Eastern North Carolina coast from the Outer Banks to also include Morehead City, Greenville, Fayetteville, and Wilmington along with a new location in beautiful and historic Charleston, South Carolina.

Pro forma for TowneBank’s pending acquisition of Old Point Financial Corporation (expected to close September 1, 2025) and the proposed acquisition of Dogwood, the combined company would have total assets of approximately $22 billion, loans of approximately $16 billion and deposits of approximately $19 billion at close of the transactions.
