EXPLANATORY NOTE
Semrush Holdings, Inc. (the “Company”) is filing this Amendment No. 1 on Form 8-K/A (the “Amendment”) to amend its Current Report on Form 8-K, originally filed with the U.S. Securities and Exchange Commission on May 5, 2025 (the “Original 8-K”) for the sole purpose of supplementing Item 5.02 of the Original 8-K to include additional disclosure regarding the Company’s Board of Directors (the “Board”) committee assignments. No other revisions have been made to the Original 8-K, and other than as mentioned in the foregoing sentence, this Amendment does not amend, update, or change any other items or disclosures contained in the Original 8-K.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously reported in the Original 8-K, the Board appointed Caroline Tsay as a new Class III, non-employee director of the Board, effective on May 1, 2025. At the time the Original Form 8-K was filed, the Board had not yet made a determination as to which committees of the Board, if any, Ms. Tsay would serve on. On July 29, 2025, the Board appointed Ms. Tsay to serve as a member of the Nominating and Corporate Governance Committee, with such appointment to take effect immediately.
