Rubicon Organics to Hold Annual General and Special Meeting

VANCOUVER, British Columbia, July 10, 2025 (GLOBE NEWSWIRE) -- Rubicon Organics Inc. (TSXV: ROMJ) (OTCQX: ROMJF) (鈥淩ubicon Organics鈥� or the 鈥淐ompany鈥�), a licensed producer focused on cultivating and selling organic certified and premium cannabis, is pleased to announce that it will hold its Annual General and Special Meeting (the 鈥淢eeting鈥�) of shareholders at 10:00 AM PT on July 31, 2025 in person at the Terminal City Club, 837 West Hastings Street, Vancouver, British Columbia, V6C 1B6, for the following purposes:

1. to receive the audited financial statements of the Company for the financial year ended December 31, 2024, together with the report of the Company鈥檚 auditors thereon;
2. to set the number of directors of the Company at eight (8);
3. to elect directors of the Company for the ensuing year;
4. to appoint PricewaterhouseCoopers LLP as the Company鈥檚 auditors for the ensuing year and to authorize the directors to fix the auditors鈥� remuneration;
5. to consider and, if thought appropriate, pass an ordinary resolution to approve an amendment to the new Omnibus Equity Incentive Plan (the 鈥�Omnibus Equity Incentive Plan鈥�) of the Company such that 8,960,179 Common Shares be reserved for issuance thereunder, as more particularly described in the accompanying Information Circular; and
6. to transact such other business as may properly come before the Meeting or any adjournment thereof.
