Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On July 7, 2025, the Board of Directors (the “Board”) of Darling Ingredients Inc. (the “Company”) approved the amendment and restatement of the Bylaws of the Company (as so amended and restated, the “Amended and Restated Bylaws”). The Amended and Restated Bylaws are effective as of July 7, 2025.

The amendments effected by the Amended and Restated Bylaws update certain procedural requirements for stockholders to take action without a stockholder meeting. The foregoing description does not purport to be complete and is qualified in its entirety by the complete text of the Amended and Restated Bylaws, a copy of which is filed herewith as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
